Terms of Service

These Terms of Service ("Terms") govern your use of Chiron, an AI wellness and fitness coaching service operated by Leyva Analytics LLC, doing business as Chiron ("Chiron," "we," "us," or "our"), accessible via WhatsApp and heychiron.com (the "Service"). By using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use the Service.

2. The Service

Chiron provides AI-generated coaching, nutrition, fitness, and general wellness guidance based on information you provide. Chiron is not a medical provider, not a telemedicine service, and does not diagnose, treat, or prescribe treatment for any medical condition. The information you share (meals, workouts, general biometrics like weight) is used only to personalize general wellness coaching, not to deliver clinical or diagnostic health services. Always consult a qualified healthcare professional for medical concerns, and seek emergency care immediately for any medical emergency.

Exercise is inherently risky. You assume all risk of injury or harm from following any workout, training, or exercise guidance provided by Chiron. Stop immediately and consult a qualified professional if you experience pain, dizziness, shortness of breath, or any other concerning symptom during or after exercise. You are solely responsible for assessing your own physical condition and limitations before following any guidance the Service provides.

3. Accounts, Trials, and Subscriptions

• A new phone number that messages Chiron begins a free trial, subject to usage limits described at signup.
• Paid subscriptions are sold through Creem, our payment processor and merchant of record. Creem, not Leyva Analytics LLC, is the authorized reseller for your purchase - Creem handles billing, tax collection and remittance, and payment processing, and is the merchant you'll see listed on your card or bank statement. Subscriptions are billed on a recurring basis (monthly or annually, as selected) until cancelled.
• Checkout (where you enter card details) happens entirely on Creem's own secure, hosted payment page - Chiron never asks for or receives your full card number, bank account number, or other payment credentials over WhatsApp or anywhere else.
• You may cancel your subscription at any time by texting Chiron or through the web portal; cancellation takes effect per the terms shown at the time of cancellation.
• Refunds and Right of Withdrawal: We offer a 14-day money-back guarantee on your initial subscription charge. If you cancel your subscription within 14 days of your first purchase, you are entitled to a full refund of that initial payment. For consumers in the European Union and the United Kingdom, this 14-day guarantee runs concurrently with, and satisfies, your statutory 14-day right of withdrawal. After the first 14 days, or for any subsequent renewal charges, cancelling stops future billing but does not refund the current billing period. In these cases, you will retain full access to the Service through the end of the period you have already paid for. All payments outside of this initial 14-day window are non-refundable except where required by law.

4. Referral Program and Discount Credits

Leyva Analytics LLC may offer a referral program allowing users to earn "discount credits" by referring new, paying subscribers. Discount credits are purely promotional, have no cash value, and do not constitute your property. They cannot be sold, transferred, or redeemed for cash.

Discount credits can reduce a subscription renewal charge to a minimum of 1.00 USD per billing cycle; they cannot reduce a bill to zero. Any excess credits beyond what is needed to reach this minimum will carry over to your next billing cycle. However, this rollover is a promotional courtesy. Rolled-over credits hold no cash value and will expire immediately if your subscription is cancelled, if the referred account ceases to be an active, paying subscriber, or if the referral program is terminated.

We reserve the absolute and unilateral right to void, revoke, or limit any discount credits if we suspect fraud, self-referral, spamming, or any other abuse or violation of these Terms. Furthermore, Leyva Analytics LLC reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. In the event the program is terminated or your account is suspended, all unredeemed discount credits will immediately expire without any compensation or liability to you.

5. Affiliate Partner Program

Leyva Analytics LLC may offer an invite-only Affiliate Partner Program ("Partner Program") that allows approved partners to earn cash commissions for referring new subscribers. If you are approved for the Partner Program, the following additional terms apply:

a. Independent Contractor Status: You are an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or agency relationship between you and Leyva Analytics LLC. You are solely responsible for reporting and paying any applicable taxes on commissions earned.

b. FTC Compliance & Disclosures: You must strictly comply with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials. Whenever you share your affiliate link or promote Chiron, you must clearly and conspicuously disclose your financial relationship with us (e.g., "I may earn a commission if you purchase through this link").

c. Payouts and Third-Party Tracking: Commissions are tracked, calculated, and disbursed exclusively by our merchant of record, Creem. Because Leyva Analytics LLC does not process, hold, or control these funds, we are not liable for tracking failures, reporting delays, or payout issues. Your receipt of commissions is subject entirely to Creem's payout terms, schedules, and capabilities.

d. Fraud and Program Termination: If we suspect you of fraud, self-referral, spamming, deceptive marketing practices, or any violation of these Terms, we reserve the right to immediately terminate your participation in the Partner Program. Upon termination, you forfeit any right to pending or future commissions. We reserve the right to instruct Creem to halt any scheduled payouts to you and to pursue restitution for any fraudulently obtained commissions.

e. Modification: Leyva Analytics LLC reserves the right to modify the commission rate, change the terms of the Partner Program, or terminate the program entirely at any time, with or without notice.

6. Acceptable Use

You agree not to use the Service to:

• Attempt to manipulate, "jailbreak," or extract Chiron's internal instructions or system architecture.
• Send harassing, hateful, illegal, or sexually exploitative content.
• Impersonate another person or misuse another person's phone number.
• Attempt to interfere with or disrupt the Service's operation.
• Use Chiron's outputs to develop, train, or improve any other artificial intelligence model or algorithm.

Violations may result in warnings, temporary account restrictions, or permanent suspension, at our discretion.

7. Your Wellness Data

Information you share (meals, workouts, biometrics, files, etc.) is used to personalize Chiron's coaching and is stored securely. See our Privacy Policy for details on collection, use, and deletion of your data.

We may use de-identified and aggregated data (data that does not identify you) to analyze, maintain, and improve the Service, including the underlying AI models. We do not use your raw, identifiable conversations or wellness data for this purpose.

8. Ownership of Content and Outputs

You retain ownership of the photos, text, and other content you submit to the Service ("User Content"). By submitting User Content, you grant Leyva Analytics LLC a worldwide, royalty-free license to use, store, process, and transmit it - including to our AI service provider - solely to operate and provide the Service to you.

Chiron's AI-generated responses to you, including customized workout routines, meal analyses, and coaching guidance ("Outputs"), are yours to use for your own personal, non-commercial purposes. Leyva Analytics LLC retains all right, title, and interest in and to the Service itself, including its underlying software, system architecture, and prompts.

9. Messaging

By using the Service, you consent to receive messages from Chiron via WhatsApp/SMS related to your account, trial, and subscription. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP, UNSUBSCRIBE, or CANCEL to opt out at any time.

10. Account Termination and Deletion

You may request account deletion at any time. We may also suspend or terminate accounts that violate these Terms, including repeated safety/content violations. See our Privacy Policy for the account deletion and data retention process.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CHIRON'S RESPONSES ARE AI-GENERATED AND CAN "HALLUCINATE" - PRODUCING OUTPUT THAT SOUNDS PLAUSIBLE AND CONFIDENT BUT IS FACTUALLY INCORRECT. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING IMPORTANT INFORMATION AND CONSULTING PROFESSIONALS AS APPROPRIATE BEFORE ACTING ON IT.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. To the maximum extent permitted by law, our total liability to you for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Leyva Analytics LLC, its officers, directors, employees, and agents from and against any claims, actions, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your reliance on any guidance, workout, or nutritional information provided by Chiron.

14. Force Majeure and Third-Party Services

The Service relies on third-party platforms and infrastructure, including Meta/WhatsApp, our AI service provider, and Creem for payment processing. Leyva Analytics LLC shall not be liable for any delay, interruption, or failure in performance arising out of acts of God, force majeure, or the failure, outage, or unavailability of any third-party service, network, or platform.

15. WhatsApp Platform Terms

Because the Service operates through WhatsApp, your use of Chiron is also subject to WhatsApp's own Terms of Service and Privacy Policy. Leyva Analytics LLC is not responsible for how Meta/WhatsApp collects, uses, or handles your data once it is transmitted through their platform, or for any action WhatsApp takes with respect to your number independent of the Service.

16. Modification or Termination of Service

We may modify, suspend, or discontinue the Service, or any part of it, at any time, with or without notice, and without liability to you.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Before filing any claim against us, you agree to first contact us (see Section 20) and attempt to resolve the dispute informally for at least 30 days.

Agreement to Arbitrate. Except for disputes eligible for small-claims court, you and Leyva Analytics LLC agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class Action Waiver. You and Leyva Analytics LLC agree that any arbitration or claim will be conducted only on an individual basis, not as a class, consolidated, or representative action. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court instead of arbitration.

Venue. For any claim not subject to arbitration (including small-claims actions), the state and federal courts located in Broward County, Florida have exclusive jurisdiction and venue, and you consent to personal jurisdiction there.

18. Severability and Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leyva Analytics LLC regarding your use of the Service. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

19. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
